PURESHIELD INSURANCE

WEBSITE TERMS & CONDITIONS / TERMS OF USE

Effective Date: September 21, 2026
Last Updated: September 21, 2026

These Terms and Conditions (“Terms”) govern your access to and use of websites, portals, forms, applications, digital services, communications, documents, and other online services operated by or on behalf of PureShield Insurance (“PureShield,” “we,” “us,” or “our”).

By accessing or using a PureShield website, creating or using an account, submitting information, uploading a document, requesting a quote, requesting service, electronically approving or declining an option, or otherwise using our online services, you acknowledge that you have read and agree to these Terms to the extent permitted by applicable law.

If you do not agree to these Terms, do not use the applicable online service.

These Terms do not replace or modify the terms of any insurance policy, binder, endorsement, application, carrier agreement, producer agreement, client agreement, privacy notice, or other agreement that separately governs a particular insurance transaction or relationship.

1. INSURANCE COVERAGE IS GOVERNED BY THE POLICY

Information provided through PureShield websites and digital services is general in nature.

Actual insurance coverage is governed exclusively by the applicable:

  • Insurance policy;
  • Declarations;
  • Endorsements;
  • Binders;
  • Applications;
  • Carrier rules;
  • Underwriting approvals; and
  • Other legally controlling insurance documents.

If information displayed on a PureShield website conflicts with an issued insurance policy or carrier document, the applicable policy or carrier document controls.

2. USING THIS WEBSITE DOES NOT CREATE INSURANCE COVERAGE

Accessing this website, requesting information, completing a form, uploading documents, submitting an application, making a payment attempt, approving a quote, sending an email, leaving a voicemail, sending a text message, or submitting a portal request does not itself create insurance coverage.

Insurance coverage is not effective unless and until it has been properly authorized, accepted, and bound by the applicable insurance carrier or other person with authority to bind coverage, and confirmation has been provided.

You should never assume insurance coverage is effective merely because you contacted PureShield.

3. QUOTE REQUESTS DO NOT BIND COVERAGE

Submitting a request for an insurance quote does not:

  • Guarantee that a quote will be available;
  • Guarantee any particular premium;
  • Guarantee coverage;
  • Guarantee carrier acceptance;
  • Bind insurance;
  • Extend existing insurance;
  • Reinstate expired or cancelled insurance; or
  • Create an obligation for any carrier to issue coverage.

All quotations are subject to underwriting, eligibility, carrier requirements, verification of information, applicable rates, and final approval.

4. QUOTES MAY CHANGE

Insurance quotations may change before coverage is bound.

Factors that may affect pricing or eligibility include:

  • Incorrect or incomplete information;
  • Driver records;
  • Claims history;
  • Loss runs;
  • Inspections;
  • Property characteristics;
  • Credit-based insurance information where legally permitted;
  • Payroll;
  • Revenue;
  • Vehicle information;
  • Business operations;
  • Prior insurance;
  • Carrier rate changes;
  • Underwriting review; and
  • Other relevant information.

A displayed or communicated premium is not guaranteed until the applicable carrier has finalized the transaction.

5. CLIENT APPROVAL DOES NOT MEAN COVERAGE IS BOUND

PureShield may allow users to electronically approve or decline quotes, renewal options, proposals, or other documents.

Selecting Approve, typing your name, entering a date, checking a confirmation box, or otherwise electronically indicating approval means that you are instructing PureShield to proceed with the selected option.

It does not, by itself, mean:

  • The carrier has accepted the risk;
  • Payment has been received;
  • Underwriting conditions have been satisfied;
  • Coverage has been bound; or
  • Coverage is currently effective.

You must receive confirmation that coverage has been bound before relying on the existence of insurance.

6. REQUESTS FOR POLICY CHANGES

Online requests involving existing insurance are requests for processing only.

This includes requests to:

  • Add or remove vehicles;
  • Add or remove drivers;
  • Add or remove properties;
  • Add locations;
  • Change addresses;
  • Change limits;
  • Change deductibles;
  • Add additional insureds;
  • Add endorsements;
  • Change business operations;
  • Cancel insurance;
  • Reinstate insurance;
  • Request certificates;
  • Change beneficiaries;
  • Modify billing; or
  • Otherwise alter coverage.

No requested change is effective until properly processed and confirmed.

Submitting a request does not guarantee that the carrier will approve it.

7. DO NOT RELY ON AN UNCONFIRMED REQUEST

You are responsible for obtaining confirmation regarding any requested policy transaction.

If a requested change is important to your coverage, business operations, contract, loan, closing, vehicle use, property ownership, or another time-sensitive matter, you should contact PureShield and confirm its status.

Silence, an automated response, a website confirmation screen, or an acknowledgment that your request was received does not necessarily mean the request has been completed.

8. 24/7 ACCESS DOES NOT MEAN EVERY TRANSACTION CAN BE COMPLETED 24/7

PureShield may advertise or provide 24/7 access for inquiries and service requests.

This means users may be able to contact us or submit requests at any time.

It does not mean every:

  • Insurance carrier;
  • Underwriter;
  • Claims department;
  • Billing department;
  • Finance company;
  • Inspection service;
  • Vendor; or
  • Other third party

is available at all times.

Certain transactions cannot be completed outside the operating hours of the applicable carrier or third party.

9. NO GUARANTEED RESPONSE TIME

PureShield seeks to provide responsive service.

Any response-time goal stated on our website or in our Service Policy is a service objective and not a guarantee unless we expressly agree otherwise in writing.

Processing time may depend on third parties and circumstances outside our reasonable control.

10. CLIENT RESPONSIBILITY FOR INFORMATION

You agree to provide information that is accurate, complete, truthful, and current.

You should promptly notify PureShield of material changes involving matters such as:

  • Drivers;
  • Vehicles;
  • Properties;
  • Business operations;
  • Ownership;
  • Employees;
  • Payroll;
  • Revenue;
  • Locations;
  • Equipment;
  • Occupancy;
  • Construction;
  • Claims;
  • Transportation activities;
  • Beneficiaries; and
  • Other insurance exposures.

PureShield may rely on information supplied by you or by individuals you authorize.

11. CONSEQUENCES OF INACCURATE INFORMATION

Incorrect, incomplete, misleading, or outdated information can affect:

  • Eligibility;
  • Premium;
  • Coverage;
  • Underwriting;
  • Policy issuance;
  • Policy cancellation;
  • Claims; and
  • Other insurance determinations.

PureShield is not responsible for consequences caused by materially incorrect or incomplete information supplied by a client, applicant, authorized representative, or other information source, except to the extent liability cannot lawfully be limited.

12. YOUR RESPONSIBILITY TO REVIEW INSURANCE DOCUMENTS

You are responsible for reviewing documents provided to you.

This includes:

  • Applications;
  • Quotes;
  • Proposals;
  • Declarations;
  • Policies;
  • Endorsements;
  • Certificates;
  • Renewal documents;
  • Notices;
  • Invoices; and
  • Other insurance records.

You should notify PureShield promptly if information appears inaccurate or if the coverage shown does not match what you believe you requested.

13. CERTIFICATES OF INSURANCE

A certificate of insurance is evidence of insurance as reflected by the applicable policy.

A certificate does not itself:

  • Create insurance coverage;
  • Expand insurance coverage;
  • Amend a policy;
  • Override exclusions;
  • Create additional-insured status; or
  • Create rights inconsistent with the underlying policy.

Special insurance requirements may require carrier approval and endorsement.

14. CONTRACTUAL INSURANCE REQUIREMENTS

PureShield may assist clients with reviewing insurance requirements contained in:

  • Leases;
  • Vendor contracts;
  • Construction contracts;
  • Loan agreements;
  • Management agreements;
  • Property agreements; or
  • Other contracts.

Unless PureShield expressly agrees otherwise in writing, such assistance is insurance-related guidance only.

PureShield does not provide legal opinions regarding whether your insurance satisfies every obligation contained in a contract.

You should have qualified legal counsel review contractual obligations where appropriate.

15. NO LEGAL, TAX, ACCOUNTING, OR INVESTMENT ADVICE

PureShield provides insurance services.

Unless specifically agreed otherwise in writing by an appropriately qualified professional, nothing on our website should be interpreted as legal, tax, accounting, securities, investment, or financial-planning advice.

16. NO GUARANTEE OF THE LOWEST PRICE

PureShield may have access to multiple insurance carriers and markets.

We do not represent or guarantee that:

  • We have access to every insurer;
  • A quoted policy is the least expensive option available anywhere;
  • Another broker could not obtain different terms;
  • A recommended option is objectively superior to every other product; or
  • Every carrier will be willing to insure every risk.

Insurance markets, rates, and appetite change.

17. THIRD-PARTY INSURANCE CARRIERS

Insurance policies are issued by insurance carriers, not by PureShield unless specifically stated otherwise.

Carrier decisions may include:

  • Underwriting;
  • Pricing;
  • Coverage;
  • Eligibility;
  • Binding;
  • Cancellation;
  • Reinstatement;
  • Renewal;
  • Nonrenewal;
  • Claims; and
  • Payment decisions.

PureShield does not control independent carrier decisions.

18. CLAIMS

PureShield may assist with reporting or navigating a claim.

Insurance carriers or claims administrators ultimately determine matters such as:

  • Coverage;
  • Liability;
  • Claim value;
  • Investigation;
  • Settlement;
  • Repair;
  • Denial;
  • Payment; and
  • Timing.

PureShield does not guarantee any claim outcome.

19. BILLING AND PAYMENT

Insurance premiums may be billed or processed by:

  • Insurance carriers;
  • Premium finance companies;
  • Payment processors; or
  • Other third parties.

You remain responsible for ensuring required payments are made by applicable deadlines.

Contacting PureShield regarding a payment problem does not automatically prevent cancellation or extend a payment deadline.

20. WEBSITE INFORMATION

We seek to keep our website accurate and useful.

However, website information may occasionally contain:

  • Typographical errors;
  • Outdated information;
  • Technical errors;
  • Incomplete information;
  • Incorrect pricing;
  • Broken links; or
  • Other inaccuracies.

PureShield may correct website information at any time.

A website error does not create insurance coverage or obligate an insurance carrier to provide a product, price, or coverage not otherwise authorized.

Even the Texas Department of Insurance itself cautions that online insurance information may contain errors and should not substitute for controlling law or legal advice.

21. PORTAL ACCOUNTS

Certain users may receive access to a PureShield client portal, agent portal, administrative portal, or other restricted system.

Accounts may be created only by authorized persons where applicable.

You agree to provide accurate account information.

PureShield may:

  • Approve access;
  • Reject access;
  • Suspend access;
  • Restrict access;
  • Reset credentials; or
  • Terminate access

when reasonably necessary for security, compliance, operational, contractual, or legal reasons.

22. ACCOUNT SECURITY

You are responsible for safeguarding:

  • Usernames;
  • Passwords;
  • Authentication codes;
  • Devices;
  • Email accounts; and
  • Other credentials used to access PureShield systems.

You must not knowingly allow unauthorized users to access your account.

Notify PureShield promptly if you believe your account has been compromised.

23. ACTIONS TAKEN THROUGH YOUR ACCOUNT

PureShield may reasonably treat activity completed through an authenticated account as activity associated with that account holder, subject to applicable law and evidence of unauthorized access.

This may include:

  • Document access;
  • Quote approvals;
  • Quote declines;
  • Service requests;
  • Uploads;
  • Messages; and
  • Profile changes.

PureShield may maintain logs regarding such activity.

24. AUDIT AND TRANSACTION RECORDS

Where appropriate, PureShield may retain records concerning electronic transactions, including:

  • Account identifiers;
  • Dates;
  • Times;
  • Document versions;
  • Quote versions;
  • Actions taken;
  • Typed names;
  • Confirmation acknowledgments;
  • Security information;
  • Device or browser information;
  • IP information where appropriate; and
  • Administrative activity.

These records may be used for:

  • Security;
  • Compliance;
  • Fraud prevention;
  • Customer service;
  • Dispute resolution;
  • Legal proceedings; and
  • Recordkeeping.

25. ELECTRONIC COMMUNICATIONS

By using electronic services, you may agree to conduct certain transactions electronically.

Electronic communications may include:

  • Emails;
  • Portal messages;
  • Electronic documents;
  • Electronic notices;
  • Quote decisions;
  • Service requests; and
  • Electronic acknowledgments.

Texas law recognizes electronic records and signatures in qualifying electronic transactions, but requires agreement to conduct the transaction electronically.

26. ELECTRONIC SIGNATURES

Where legally permitted, an electronic action may constitute an electronic signature.

An electronic signature may include:

  • Typing your name;
  • Clicking an approval button;
  • Checking an acknowledgment box;
  • Applying a digital signature; or
  • Other electronic actions intended to signify agreement.

Federal law generally provides that a signature or contract cannot be denied legal effect solely because it is electronic.

However, this section does not replace any separate electronic-consent process required by law, including any consumer-consent requirements applicable to legally required disclosures.

27. RECORD RETENTION

PureShield may retain electronic and other records for purposes including:

  • Insurance servicing;
  • Regulatory compliance;
  • Licensing;
  • Auditing;
  • Fraud prevention;
  • Claims;
  • Legal defense;
  • Dispute resolution;
  • Transaction history; and
  • Other legitimate business purposes.

Retention periods may vary.

28. DOCUMENT UPLOADS

If you upload information or documents, you represent that:

  • You are authorized to provide them;
  • The information is not knowingly fraudulent;
  • Providing the materials does not unlawfully violate another person’s rights; and
  • The materials relate to a legitimate insurance or business purpose.

Do not upload malicious software, unlawful content, or unrelated sensitive information.

29. USER CONTENT

You retain whatever ownership rights you otherwise possess in documents and information you provide.

You grant PureShield permission to use, store, copy, transmit, and disclose those materials as reasonably necessary to:

  • Provide requested insurance services;
  • Obtain quotes;
  • Submit risks;
  • Process requests;
  • Maintain records;
  • Comply with legal obligations; and
  • Conduct legitimate business operations,

subject to applicable privacy laws and our Privacy Policy.

30. PROHIBITED USE

You may not use PureShield websites or systems to:

  • Commit fraud;
  • Impersonate another person;
  • Obtain unauthorized access;
  • Circumvent security controls;
  • Probe or test systems without authorization;
  • Introduce malware;
  • Interfere with system operation;
  • Scrape restricted data;
  • Harvest account information;
  • Access another client’s information;
  • Manipulate URLs or identifiers to access unauthorized records;
  • Use another person’s credentials without permission;
  • Upload illegal content;
  • Violate intellectual-property rights;
  • Send abusive or threatening communications; or
  • Violate applicable law.

31. SUSPENSION FOR SECURITY OR MISUSE

PureShield may restrict or suspend access when we reasonably believe it is necessary to:

  • Protect clients;
  • Protect PureShield;
  • Investigate suspected fraud;
  • Address a security event;
  • Prevent unauthorized access;
  • Protect third parties;
  • Comply with legal requirements; or
  • Stop misuse of our systems.

32. INTELLECTUAL PROPERTY

Unless otherwise stated, PureShield or its licensors own applicable rights in the website and its:

  • Branding;
  • Logos;
  • Graphics;
  • Layout;
  • Software;
  • Original text;
  • Designs;
  • Portal interfaces;
  • Databases; and
  • Other proprietary materials.

You may not reproduce, distribute, modify, reverse-engineer, commercially exploit, or create derivative works from protected materials except as permitted by law or written authorization.

33. PURESHIELD NAME AND MARKS

“PureShield,” PureShield logos, slogans, visual branding, and associated marks may not be used in a manner that suggests sponsorship, affiliation, endorsement, or authorization without our permission.

34. THIRD-PARTY LINKS

PureShield may link to websites operated by:

  • Carriers;
  • Payment processors;
  • E-signature providers;
  • Claims providers;
  • Regulators;
  • Finance companies; or
  • Other organizations.

PureShield does not control third-party websites.

A link does not constitute a guarantee or endorsement of every aspect of the linked service.

Use of third-party websites may be governed by their own terms and privacy policies.

35. THIRD-PARTY TECHNOLOGY

PureShield may depend on third-party infrastructure and technology.

We do not guarantee that third-party services will always be:

  • Available;
  • Error-free;
  • Secure;
  • Uninterrupted; or
  • Compatible with every device.

36. WEBSITE AVAILABILITY

PureShield does not promise uninterrupted website or portal availability.

Service may be interrupted because of:

  • Maintenance;
  • Updates;
  • Internet failures;
  • Hosting failures;
  • Cybersecurity incidents;
  • Third-party outages;
  • Software errors;
  • Natural disasters;
  • Power failures; or
  • Other circumstances.

Do not rely exclusively on an online portal for an emergency or time-sensitive insurance matter.

37. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PURESHIELD’S WEBSITES, PORTALS, DIGITAL TOOLS, AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT AS EXPRESSLY REQUIRED BY LAW OR AGREED IN WRITING, PURESHIELD DISCLAIMS WARRANTIES REGARDING:

  • UNINTERRUPTED AVAILABILITY;
  • ERROR-FREE OPERATION;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • MERCHANTABILITY;
  • ACCURACY OF GENERAL WEBSITE INFORMATION;
  • NON-INFRINGEMENT; AND
  • RESULTS OBTAINED THROUGH USE OF THE WEBSITE.

Nothing in this section eliminates obligations or warranties that applicable law does not permit us to disclaim.

38. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PURESHIELD AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE PURESHIELD’S WEBSITE OR DIGITAL SERVICES.

This may include, to the extent permitted by law:

  • Lost profits;
  • Lost business opportunities;
  • Lost data;
  • Business interruption; or
  • Similar consequential losses.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

Nothing in these Terms is intended to eliminate duties imposed on a licensed insurance professional that cannot lawfully be waived.

39. USER-CAUSED LOSSES

To the fullest extent permitted by law, PureShield is not responsible for loss resulting from:

  • A user’s failure to provide accurate information;
  • Failure to review documents;
  • Failure to pay insurance premiums;
  • Failure to respond to carrier requests;
  • Unauthorized sharing of credentials;
  • Use of an insecure device;
  • Failure to notify PureShield of important changes;
  • Reliance on an unconfirmed request; or
  • Conduct outside PureShield’s reasonable control,

except where applicable law provides otherwise.

40. INDEMNIFICATION FOR MISUSE

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless PureShield and its affiliates, officers, personnel, and representatives from third-party claims, liabilities, losses, and reasonable costs arising from your:

  • Fraudulent conduct;
  • Illegal use of the website;
  • Unauthorized access;
  • Intentional misuse of PureShield systems;
  • Violation of another person’s rights;
  • Upload of unlawful materials; or
  • Material violation of these Terms.

This provision does not require you to indemnify PureShield for liability that applicable law does not permit PureShield to shift to you.

41. FORCE MAJEURE

To the fullest extent permitted by law, PureShield will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Hurricanes;
  • Floods;
  • Fires;
  • Severe weather;
  • War;
  • Terrorism;
  • Civil unrest;
  • Government action;
  • Internet outages;
  • Telecommunications failures;
  • Utility failures;
  • Cyberattacks;
  • Widespread technology outages;
  • Carrier system failures; or
  • Other comparable events.

This does not eliminate any obligation that cannot legally be excused.

42. FRAUD

PureShield may investigate suspected fraud or abuse.

We may preserve or provide information to:

  • Insurance carriers;
  • Regulators;
  • Law enforcement;
  • Legal counsel;
  • Fraud-prevention organizations; or
  • Other authorized parties

when permitted or required by law.

43. RESPECTFUL USE

Threats, harassment, discrimination, abuse, fraudulent conduct, and deliberate misuse of PureShield systems are prohibited.

Where legally permitted, PureShield may limit or terminate access or business relationships based on serious or repeated misconduct.

44. PRIVACY

Use of PureShield online services is also subject to our Privacy Policy and any additional privacy notice applicable to a specific insurance transaction.

If another legally required privacy notice provides additional or different rights, that notice controls with respect to the information it governs.

45. SMS, EMAIL, AND OTHER COMMUNICATION TERMS

Certain communications may be subject to separate consent requirements.

Receiving transactional communications necessary to service an insurance relationship may be treated differently from receiving marketing communications.

Where required, PureShield will obtain separate authorization or consent.

These Terms do not themselves create consent where applicable law requires a separate form of consent.

46. CHANGES TO THESE TERMS

PureShield may modify these Terms periodically.

Changes will be reflected by an updated revision date.

Where applicable law requires separate notice or affirmative agreement to a material change, we will use the process required by law.

Changes will not retroactively alter rights in a manner prohibited by law.

47. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Any invalid provision should be interpreted or limited, where legally permitted, to accomplish its intended lawful purpose as closely as possible.

48. NO WAIVER

Failure by PureShield to enforce a provision of these Terms on one occasion does not necessarily waive our right to enforce that provision later.

49. ENTIRE WEBSITE TERMS

These Terms constitute the general terms governing use of PureShield’s website and online services.

Separate agreements may govern specific relationships or transactions.

If a valid separate written agreement expressly conflicts with these Terms, that agreement controls with respect to the subject matter it specifically governs.

50. NO THIRD-PARTY BENEFICIARIES

Unless expressly provided otherwise, these Terms are not intended to give contractual rights to persons who are not parties to the applicable relationship.

51. ASSIGNMENT

To the extent permitted by law, PureShield may assign or transfer its rights and obligations relating to website operations in connection with:

  • Corporate restructuring;
  • Merger;
  • Acquisition;
  • Sale of assets;
  • Financing;
  • Reorganization; or
  • Similar business transaction.

Users may not transfer restricted portal accounts or credentials to another person without authorization.

52. GOVERNING LAW

To the extent legally permitted, these Terms and disputes arising primarily from use of PureShield’s website or digital services will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Nothing in this provision overrides a law or regulatory requirement that cannot legally be altered by agreement.

53. FORUM

To the fullest extent permitted by applicable law, disputes regarding these Terms or use of PureShield’s website that are not governed by another controlling agreement will be brought in a court of competent jurisdiction located in the State of Texas.

This provision is intended as a selection of Texas as the forum and should not be interpreted to impose an otherwise unenforceable county-specific venue requirement.

54. REGULATORY RIGHTS ARE PRESERVED

Nothing in these Terms is intended to:

  • Prevent a consumer from contacting an insurance regulator;
  • Waive legally non-waivable consumer protections;
  • Prevent reporting unlawful conduct;
  • Limit rights that applicable insurance law requires; or
  • Alter the authority of a governmental agency.

55. INSURANCE POLICY CONTROLS

Nothing in these Terms modifies any insurance contract.

If these Terms conflict with an issued insurance policy regarding insurance coverage, the insurance policy controls.
